These Terms and Conditions (“Terms”) contain important information that details and explain Your rights to access and use of the Easy Menus Ltd service (the “Easy Menus Ltd service” or the “Service”) which is made available at www.easymenus.uk (the “Website”).

By registering to use the Easy Menus Ltd service, You agree that you have read and understood these Terms and that You are bound by the Terms whilst you use the Easy Menus Ltd service.

4. REGISTERING AN ACCOUNT

4.1. The registration process for opening an Account consists of submitting personal data.

4.2. During registration You will need to choose a username and password and enter other personal details which will be used for the purposes of verifying Your identity and contacting You. You may also need to verify your registered email address as part of the registration process.

4.3. It is Your sole responsibility to ensure that the information You provide during the registration process is accurate and is kept up to date thereafter. For Account changes or history, you can contact Customer Support for assistance

4.5. Easy Menus Ltd reserves the right to refuse to open any Account.

4.6. After opening Your Account, You must take all reasonable steps to avoid disclosing (whether deliberately or accidentally) Your username, password and/or Account number to anyone else, including ensuring that up-to-date security software is downloaded onto Your device and changing Your password regularly.

5. ACCOUNT SECURITY

6.1. The password that You choose must be kept private and secure by You at all times. Should You forget Your Account login or password please contact Customer Support for assistance. Failure to keep Your password private and secure could lead to unauthorised activities on Your Account for which Easy Menus Ltd accepts no liability.

6.2. Transactions made using Your Account(s), login details and password are accepted by us on the understanding that the transactions have been authorised by You. Easy Menus Ltd shall not be liable for any claims in the event that You disclose Your username and password to anyone else (whether deliberately or accidentally).

6.3. If another person accesses Your Account(s) You are solely responsible for all their actions whether or not their access was authorised by You and Easy Menus Ltd shall not be liable for any claims in the event that You disclose Your login details and/or password to a third party either intentionally or accidentally.

6.4. Should You feel that Your Account(s) security has been compromised, You are obliged to contact us immediately.

6.5. Easy Menus Ltd reserves the right at its sole discretion to close Your Account(s) if we suspect that You have disclosed Your login and/or password to any third party.

7. CLOSING YOUR ACCOUNT

9.1 You are permitted to close Your Account at any time. All requests must be made via customer services. You will be able to re-open Your Account at any time by contacting Customer Support. You should allow for up to 72 hours for these requests to be processed. Once the closure has been executed.

8. DORMANT ACCOUNTS

10.1. If You do not use Your Account for a period of 6 consecutive months, such Account shall be deemed to be dormant.

9. SERVICE, SOFTWARE AND CONNECTION FAULTS

9.1 You agree that use of the Service is at Your own risk.

9.2. Due to the inherent nature of the internet, third party disconnections may occur. Easy Menus Ltd will not be held responsible for any financial loss caused by a loss of connection to Easy Menus Ltd servers or lag in Your internet or network connection whilst accessing.

9.3. Easy Menus Ltd shall not be held responsible for any viruses, bugs, errors or defects in the Service, any Content on the Service, systems, software or services which affects the service or causes any damage or loss to Your system or other personal property as a result of Your use of the Service and services available on the Service. Should this occur, You must report this immediately to Customer Support.

9.4. If a transaction is interrupted due to a failure in Easy Menu's equipment in such a manner as to prevent You from continuing with the transaction, the transaction will be voided

10. ANTI-MONEY LAUNDERING

10.1. Easy Menus Ltd complies with the, the current EU Anti-Money Laundering Directive and any other statute and regulations making provisions relating to money laundering which are applicable to Easy Menus.

11. INTELLECTUAL PROPERTY RIGHTS

11.1. All Service design, text, graphics, music, sound, photographs, video, the selection and arrangement thereof, software compilations, underlying source code, software and all other material contained within the Service are subject to copyright and other proprietary rights which are either owned by Easy Menus Ltd or used under licence from third party rights owners.

11.2. Under no circumstances shall the use of the Service grant to any user any interest in any intellectual property rights (for example copyright, know-how or trademarks) owned by Easy Menus Ltd or by any third party whatsoever.

11.3. You must not, nor must You allow any other person to copy, store, publish, rent, licence, sell, distribute, alter, add to, delete, remove or tamper with the Service or any part of it in any way or directly or indirectly disrupt or interfere (or attempt to disrupt or interfere) with the Service, other than in the course of viewing or using the Service in accordance with these Terms.

11.4. All product and company names and logos mentioned on the website are the trademarks, service marks or trading names of their respective owners, including Easy Menus Ltd. You agree not to display or use such logos, designs, trademarks and other distinctive brand features in any manner without prior written consent.

12. BREACH OF THE TERMS AND CONDITIONS

12.1. If You breach any provision of these Terms or if Easy Menus Ltd has a reasonable ground to suspect that You have breached them, Easy Menus Ltd reserves the right to suspend, close, terminate, or not to open Your Account/s.

12.2. If Easy Menus Ltd suspects that You are having problems with creditors or otherwise detrimental to the Easy Menus Ltd business, Easy Menus Ltd may suspend or terminate Your Account.

12.3. You shall compensate Easy Menus Ltd in full for any claims, liabilities, costs, expenses (including legal fees) and any other charges that may arise as a result of Your breach of the Terms or any breach by You or by any other person using Your Account (whether or not with Your permission) of any laws of any jurisdiction which is applicable to You or the Service.

13. LIMITATION OF Easy Menus LIABILITY

13.1. You access the Service. Easy Menus Ltd shall not be liable for any attempts by You to use the Service by methods, means or ways not intended by Easy Menus. The Service is provided with all due reasonable skill and care and substantially as described in these Terms and Conditions. Easy Menus Ltd does not make any other promises or warranties regarding the Service or the products offered via the Service, which are provided without any warranties whatsoever, whether express or implied.

Easy Menus Ltd and its subsidiaries, affiliates, officers, directors, employees and agents shall not be liable to You in contract, tort (including negligence) or otherwise for any business losses, including but not limited to loss of data, profits, revenue, business, opportunity, goodwill, reputation or business interruption or for any losses arising out of these Terms, Your use of the Services, even if such losses are foreseeable or if Easy Menus Ltd has been notified by You of the possibility of such losses. You specifically acknowledge that Easy Menus Ltd shall not be liable for content or the defamatory, offensive or illegal conduct of any third party and that the risk of harm or damage from the foregoing rests entirely with You.

13.3. Nothing in these Terms shall exclude or limit Easy Menus's liability for death or personal injury resulting from Easy Menus's negligence or any liability to the extent the same may not be excluded or limited as a matter of law.

13.4. You shall compensate Easy Menus Ltd in full for any claims, liabilities, costs, expenses (including legal fees) and any other charges that may arise as a result of Your use of the Service, including but not limited to Your violation of any third party right such as any copyright, property or privacy right, or any claim that Your content caused damage to a third party. This indemnification obligation shall survive these Terms and Your use of the Service.

14. EVENTS OUTSIDE Easy Menus CONTROL

Easy Menus Ltd will not be liable for any failure to perform, or delay in performance of, any of Easy Menus Ltd obligations under the Terms if it is caused by an event beyond Easy Menus's reasonable control, including acts of God, internet failures, telecommunication equipment or other equipment failures, electrical power failures, fire, lightning, explosion, war, flood, industrial disputes, sabotage, severe weather, or acts of local or central Government or other competent authorities.

15. ASSIGNMENT Easy Menus Ltd reserves the right to assign or otherwise lawfully transfer the agreement with You in whole or in part to any person without Your consent. You may not assign, sublicense or otherwise transfer in any manner whatsoever any of Your rights or obligations under these Terms and Conditions.

16. LANGUAGE If these Terms and Conditions are translated into another language, the English language version will prevail in the event of any conflict between the translation and the English language version.

23. SEVERABILITY

23.1. If any of the Terms is determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law. In such cases, the part deemed invalid or unenforceable shall be amended in a manner consistent with the applicable law to reflect, as closely as possible, Easy Menus's original intent.

17. GOVERNING LAW

17.1. These Terms and the agreement between You and Easy Menus Ltd shall be governed and interpreted in all respects in accordance with the laws of England and Wales.
